Schneider Electric agrees to acquire PTC for $22.6 billion — Channel NewsAsia
French company Schneider Electric has agreed to acquire U.S. software developer PTC for $22.6 billion in cash. As Channel NewsAsia reports, on October 5 the company confirmed reports of the deal that emerged on Sunday.
Terms of the acquisition
Schneider Electric offered PTC shareholders $205 per share. This price values the company’s equity at about $22.6 billion and its enterprise value at $23.7 billion.
The offer represents a 42.3% premium to PTC’s last closing share price. The company is based in Boston and develops software solutions for designing, manufacturing and servicing products across various industries.

Financing and timeline
Schneider Electric plans to finance the acquisition by raising capital and issuing new debt instruments. The deal is expected to close in the third quarter of 2027.
The acquisition is expected to strengthen Schneider Electric’s strategy of buying software developers. In June, the company agreed to acquire Cognite Holding, a private provider of artificial intelligence and industrial data software.
Schneider Electric, previously known primarily for industrial components, now supplies data centers with cooling systems, server racks and critical power distribution equipment. PTC is also benefiting from growing demand for artificial intelligence tools.
