Oando shareholders approve all resolutions at 47th meeting in Lagos — Premium Times Nigeria

Shareholders of Oando PLC approved all resolutions presented for consideration at the company’s 47th annual general meeting in Lagos, Nigeria, on September 17, 2026. Participants also discussed the company’s performance, strategic priorities and outlook, Premium Times Nigeria reports.

Personnel and audit decisions

Shareholders re-elected the directors retiring by rotation: Ademola Akinrele, Omamofe Boyo, Ikeme Osakwe and Adeola Ogunsemu. They also reappointed BDO Professional Services as the company’s external auditor, elected members of the statutory audit committee and approved the remuneration of non-executive directors.

According to the publication, during the meeting shareholders positively assessed the approaches of the board of directors and management to corporate governance, strategic direction and disciplined capital allocation. Shareholder Bisi Bakare supported the change in approach in the mining and infrastructure business — from broad-based exploration to more disciplined asset prioritization.

Changes to constitutional documents

Participants approved amendments to Oando’s memorandum and articles of association. They provide for the possibility of holding general meetings in physical, electronic or hybrid formats.

The amendments also concern digital assets, cryptographic technologies, distributed ledger technologies and other emerging technologies, in accordance with applicable laws and regulatory requirements. In addition, the meeting authorized the board of directors to pursue listings on other stock exchanges, including cross-border listings, subject to obtaining the necessary regulatory approvals.

Group Chief Executive Officer Jubril Adewale Tinubu said that Oando would focus on operational control, clear allocation of responsibilities, stronger performance management and responsible capital allocation.
