Anthropic is preparing stock offerings with enhanced voting rights for founders ahead of its IPO
Anthropic is preparing to grant CEO Dario Amodei and other co-founders a class of shares with enhanced voting rights to protect them from external pressure from shareholders. Reuters reported this, citing The Information, which quoted two sources familiar with the situation.
If the plan goes through, Anthropic’s executives will have additional voting rights for the first time. The co-founders of Claude, the AI developer, hold relatively small stakes in the company compared to the founders of other tech firms.

According to The Information, Anthropic also plans to retain its current board of trustees, which consists of non-shareholders. It is expected that this body will elect the majority of the company’s board of directors through a special class of shares.
Details of the voting mechanism are currently unknown, and plans may still change. Anthropic did not respond to a request for comment from Reuters. According to The Information, these steps are part of the company’s preparations for an initial public offering, which could take place as early as late September and potentially become the largest IPO in history.
