There are plans to allow Naftogaz's management to receive bonuses of up to 36 times their annual salary
Naftogaz executives may be allowed to receive bonuses of up to 36 times their base salary per year. This provision is included in a draft resolution of the Cabinet of Ministers prepared by the Ministry of Economy.
The compensation for board members will consist of fixed and variable components.
For the chairman of the board, the maximum amount of bonus payments is proposed to be set at the following levels:
- quarterly bonus—up to three months’ base salary. Over four quarters, this amounts to a maximum of 12 months’ salary;
- annual bonus—up to 24 months’ base salary.
Thus, in a single year, the chairman of Naftogaz’s board could potentially receive up to 36 months’ worth of base salary in bonuses alone.
Olga Vasilevska-Smaglyuk emphasized that the rule allowing bonuses of up to 36 monthly salaries will not be permanent.
“The provision allowing bonuses of up to 36 monthly salaries will not be permanent. It will remain in effect until the transition to a new compensation system for executives of state-owned companies, but for no longer than six months after the end of martial law. After that, bonuses will be limited to 30% of fixed compensation,” explains Vasilevska-Smaglyuk.
For other members of the board, the maximum bonus amount is also tied to the chairman’s compensation.
Their quarterly and annual bonuses may not exceed the corresponding payments to the chairperson of the board.
At the same time, the specific amount of the bonus in hryvnia will depend on the base salary specified in the contract.
However, the contract itself is not made public, so the exact maximum amount of potential payments in hryvnias is currently unknown.
